    PROJECT OVERVIEW

    The Spots Bet Expert, Inc. (SBE) is seeking to hire ScaleWP to build a subscription-based learning management system that will allow its customers to signup, subscribe, and take online courses about sports betting. To do this, Scalewp will develop a new website and content strategy from the ground up in order to create a modern, tech-forward design using a WordPress framework that will empower SBE team to publish new content and courses.

    APPROACH

    Based on our discussions, we are proposing the following approach with the objective to create a more cohesive website design that presents SBE as a validated technology partner to enterprise-level companies. 

    • ScaleWP will export the current website and rebuild it in our development environment so that current marketing campaigns can continue and the current site remains live. 
    • ScaleWP will work with the SBE team to create a new theme for the site with a modern, updated redesign of the website’s global user experience and primary pages which will include the home page, global navigation, services pages, and others as defined below. 
    • ScaleWP will use a WordPress-based Learning Management system called LearnDash plus WooCommerce Subscriptions and Membership plugins. The client will be responsible for plugin subscription fees. 
    • If needed, CRM integrations will be done using Gravity Forms and the Gravity Forms Zapier addon. ScaleWP will also work with SBE’s existing marketing team to make sure that current campaigns are integrated into the new site build. 
    • We will create a new WordPress child theme based on the designs using the existing Divi premium framework that’s easy to customize and manage.
    • Content (new copy, courses, videos images) will be provided by the SBE.  ScaleWP can source images using Adobe Stock when needed. 
    • We will provide training for the company staff to update and manage new functionality on the site.

    TIMING
    The site will be complete and ready to launch 60 days after project initiation. Timing is subject to approval and content being provided in a timely manner.


    STATEMENT OF WORK AND ESTIMATES
    Price estimates are based on initial objectives and may change as mutually agreed-upon tasks and objectives change. Cost estimates and payment schedules are provided in three milestones. 

    Total Project Fee:  $18,500

    Milestone 1: Discovery, Wireframing, & Design
    We’ll begin work after 33% ($6,166) of the total project fee is paid. 

    Weeks 1-4 

    • Meet to discuss Design, Branding, Promotion, and navigation requirements. 
    • Included in the Home page design draft will be the overall site Chrome (Branding, navigation and footer) which will integrate a Mega Menu design.
    • Meet/call, revise and review the wireframe drafts based on feedback from the SBE team.
    • ScaleWP will begin creating finalized Figma designs with the following deliverables:
      • 7 total pages for course landing pages, and internal course pages that will be used to redesign aspects of the online courses, course landing pages, etc.
    • Meet/call, revise and review the Figma design drafts based on feedback from the SBE team.
    • Complete one round of revisions with up 4 hours of work on Figma designs. 

    Milestone 2: Site Development, Internal Page Design, Content Development

    We’ll begin work after 66% ($12,333) of the total project fee is paid. 

    Weeks 4-7

    • Import the existing site into a  development server and install the newest version of Divi.
    • The new Divi implementation will take advantage of Divi upgrades to create dynamic page templates when necessary.
    • Review current site plugins, install and configure any additional plug-ins to add functionality defined in the discovery phase. Remove/replace unused or outdated plugins. 
    • Work closely with the SBE team to develop CRM integrations using Gravity Forms and Zapier. Set up other tracking and marketing tools that have been integrated into the existing site. 
    • Customize and configure the theme, user experience and content organization based on the approved design drafts. Actual website design will vary based on screen size and platform and will not look exactly the same for all users on all platforms.
    • Create Divi Layout templates for the new page designs and any mega menus if defined in discovery. Apply the layouts to the pages. 
    • Modify images for headers and primary pages in order to be rendered correctly across all screen sizes. This does not include formatting images embedded in posts which should not need to be modified.
    • Setup LearnDash LML and create up to 3 courses using content video, and images provided by SBE. 
    • Setup and configure Woocmmerce Subscriptions with a membership addon to place courses behind a subscription paywall. SBE will need to provide us access to their Stripe account or provide their Stripe API key. 
    • Deliverable: Beta website with up to 15 pages with LMS and subscription functionality via Woocommerce and Stripe that have been redesigned for the SBE team’s feedback. 

    Milestone 3: Final Deliverable, Launch, Integrations, Post-Launch Items, Training & Bug Fixes
    We’ll begin work after 100% ($18,500) of the total project fee is paid. 

    Week 8 – Revisions & Browser Testing 

    • Complete 1 revision round based on the feedback from the SBE team with up to 15 items and 10 hours of total work. 
    • Test site on the latest versions of Chrome, MSFT IE/Edge, Firefox, Safari. Test on most recent versions of Android and iOS. Make revisions as needed.
    • Train staff to manage the site, including phone and up to 6 hours of in-person training sessions. 
    • Fix and test any bugs or issues with the functionality defined in the Discovery phase.
    • Create a full export of the existing live site.

    • As needed, configure 301 redirects for a maximum of 30 renamed or deleted Web pages to redirect to pages on the new site.

Terms

ScaleWP LLC – Terms & Conditions

Payment & Terms:

SCALEWP requires an initial, non-refundable payment of $7,000 upon the initiation of the agreement. Client will be invoiced the Milestone amount at the initiation of each Milestone. Payments are to be released through Upwork.

Fees may vary +- 10% based on actual requirements to be determined by mutual agreement. Fees are inclusive of expenses, as long as all work required is related to development objectives previously agreed upon. Hosting is not included.

If, upon mutual agreement, additional tasks are required beyond what is covered by the proposal or agreed upon in planning, those additional hours will be billed at our discounted hourly rate of $100/hour. The client will be notified of the expected additional fees in advance of the work being initiated.

Section B: Miscellaneous

This Agreement shall not establish a joint venture or partnership, and neither party may bind the other without the advance written consent of the other party.

Publicity. The parties will cooperate to create public announcements relating to the relationships set forth in this Agreement. Neither party shall make any public announcement regarding the existence of this Agreement without the other partyʼs prior written approval.

Mutual Indemnification. Client will indemnify CM for all claims against CM arising out of activities of Clientsʼ employees and contractors. CM will indemnify Client for all claims against Client and arising out of activities of the employees and contractors of CM. The indemnifying party shall have the right to control the defense, and then the indemnified party shall provide reasonable cooperation for such defense.

“Indemnify” means to pay or reimburse for all damage, loss, cost and expense (including reasonable attorney fees).

Assignment. Neither party may assign this Agreement or delegate their duties without the advance written consent of the other party. No change or modification to this Agreement shall be effective unless signed by the parties. This Agreement constitutes the entire agreement between the parties.

Force Majeure. Neither party shall be in default or otherwise liable for any delay in or failure of its performance under this agreement where such delay or failure of its performance under this agreement arises by reason of any Act of God, or any government or any governmental body, acts of war, the elements, strikes or labor disputes, or other cause beyond the reasonable control of CM.

Governing Law. This agreement shall be governed by the laws of the State of Missouri as to all matters including, without limitation, matters of validity, construction, effect and performance.

Confidentiality. Neither party shall disclose to any third party the Confidential Information of the other party and shall not use any such Confidential Information for any purpose other than the purpose for which it was originally disclosed to the receiving party. Confidential Information means any information of a party disclosed to the other party, which is identified as, or should be reasonably understood to be, confidential to the disclosing party.

Consent. Any consent to be given under this Agreement will not be unreasonably withheld or delayed.

Client Warranties. Client represents and warrants that the Client Properties will not knowingly: (a) violate any law or regulation, including, without limitation, the laws and regulations governing export control; (b) be defamatory or trade libelous; (c) be pornographic or obscene; or (d) contain any viruses, Trojan horses, worms, time bombs or other computer programming devices which are intended to damage a user=s system or data or prevent the user from using same.

Client further represents and warrants that (a) Client has all rights necessary for the production, distribution, exhibition and exploitation of the Client Properties as part of the Work Product consistent with the license granted in this Agreement; and (b) there is no outstanding contract, commitment or agreement to which Client is a party or legal impediment of any kind known to Client which conflicts this Agreement or might limit, restrict or impair the rights granted hereunder.

Client further represents and warrants that ScaleWP has the right to display completed work from the project in announcements and promotions.

DISCLAIMER. THE FOREGOING WARRANTIES BY EACH PARTY ARE IN LIEU OF ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, WITH RESPECT TO THIS AGREEMENT, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. NEITHER PARTY SHALL HAVE ANY LIABILITY WHATSOEVER FOR ANY COVER OR SETOFF NOR FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, EVEN IF SUCH PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

LIMITATION OF LIABILITY. DEVELOPER’S LIABILITY TO CLIENT FOR ANY REASON AND UPON ANY CAUSE OF ACTION, WHETHER SOUNDING IN TORT, CONTRACT, OR ANY OTHER LEGAL THEORY, SHALL AT ALL TIMES AND IN THE AGGREGATE BE LIMITED TO THE GREATER OF (A) $450, OR (B) THE AMOUNT ACTUALLY PAID BY CLIENT TO DEVELOPER DURING ONE (1) FULL CALENDAR MONTH IMMEDIATELY PRECEDING THE MONTH IN WHICH THE EVENT UPON WHICH LIABILITY IS PREDICATED FOR SERVICES PROVIDED BY DEVELOPER HEREUNDER, EXCLUSIVE OF ANY EXPENSES REIMBURSED PURSUANT THIS AGREEMENT. NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED OR IMPLIED HEREIN, DEVELOPER SHALL HAVE NO LIABILITY FOR ANY DAMAGES, WHATSOEVER RELATING TO THE TOOLS, THIRD PARTY PRODUCTS, OR ANY GOODS OR SERVICES NOT DEVELOPED OR PROVIDED BY DEVELOPER.
